Technology Leadership in the Boardroom
Govern Technology for Trust and Value
Technology now touches every part of enterprise value creation, and customers, investors, and regulators expect boards to ensure it is deployed responsibly. Yet only 38% of directors are highly confident their peers understand how technology affects growth strategy, and crowded agendas leave little room for forward-looking discussion.
This in-boardroom education program is grounded in the ten principles of NACD's Blue Ribbon Commission report, Technology Leadership in the Boardroom: Driving Trust and Value. It organizes technology governance around oversight, insight, and foresight to align the full board, and it is designed for non-technical directors. Boards that complete the program receive a certificate of completion in the organization's name that can be referenced in proxy statements.
Learning Objectives
- Articulate the six technology governance drivers reshaping board responsibilities and competitive risk.
- Apply the oversight–insight–foresight framework to identify gaps in your board's current technology governance.
- Distinguish the board's role in data oversight from management's execution responsibilities.
- Evaluate whether current committee structures, director proficiency levels, and reporting metrics are fit for purpose.
- Use provided tools — proficiency evaluation, governance behaviors scorecard, 20 questions for management — to take immediate action after the session.
- Design an updated board calendar and agenda that allocates appropriate time to technology foresight discussions.
Designed For
- Full boards of directors of public, private, and PE-backed companies. The program is designed for institutional adoption, with the certificate of completion awarded to the board as a governing body.
- Board chairs, nominating and governance committee chairs, audit committee chairs, general counsel, corporate secretaries, and directors attend together, since they share accountability for the board's governance.
Available Formats
A two-hour, expert-led workshop, either in person or virtual, that aims to help the board strengthen its technology oversight, including a focus on committee structures, data oversight, decision rights, and keeping technology strategy on the board agenda.
