This quarterly NACD policy brief summarizes key legislative, regulatory, and legal developments affecting boards and advises members of related NACD advocacy.

Regulatory uncertainty has dogged director decisions throughout 2024. As boards prepare for potential turmoil following the November US presidential election, regulatory activity hasn’t slowed, with a dozen pending bills slated to tax corporate or personal profits and an administrative effort in progress to crack down on serial merger and acquisition (M&A) activity. Recent Supreme Court decisions have also sent waves of disruption into the boardroom, lengthening the timeframe for suing regulatory agencies and setting new boundaries on their rulemaking power. Meanwhile, a law passed by the Delaware House and Senate weakened the power of corporate bylaws and, to some extent, boards themselves.
