Mary A. Winston is an experienced executive and corporate board member who has served as an interim chief executive officer and as chief financial officer at three large, industry-leading corporations. She leverages her executive and financial experience to bring value to the corporate boardroom, where she has years of experience serving as an SEC financial expert.

Winston serves as chair of the NACD Board of Directors and currently serves on the following public company boards:

  • Toronto-Dominion Bank Group and TD US Bank (NYSE: TD), the second-largest bank in Canada and a top 10 bank in the US, with a market cap of more than $200 billion. She serves on the parent company’s audit and governance committees and chairs the TD US Bank audit committee, where she also serves on the governance and compliance committees.
  • Northrop Grumman (NYSE: NOC), a leading global aerospace and defense technology company with a market cap of about $80 billion, where she serves on the compensation and policy committees.
  • Chipotle Mexican Grill (NYSE: CMG), operator of more than 4,000 restaurants globally, with more than 130,000 employees and a market cap of about $50 billion, where she serves as chair of the audit committee.

Winston previously served on the boards of Bed Bath & Beyond Inc., where she also served as interim CEO; Dover, Corp. where she chaired the audit committee for 10 years; Acuity, Inc. where she chaired the audit committee for five years; Domtar Corp., Supervalu Inc., and PlexusCorp. Across these boards, she served on audit, finance, strategy, compensation, nominating and governance, and environment, health, safety and sustainability committees.

As an executive, Winston served as interim chief executive officer at Bed Bath & Beyond and held executive vice president and chief financial officer roles at Family Dollar Stores Inc., Giant Eagle Inc., and Scholastic Corp. Earlier in her career, she served in senior financial roles with Pfizer and Visteon and began her career in public accounting at Arthur Andersen & Co. She later combined these experiences as CEO and founder of WinsCo Enterprises, where she provided financial and board advisory consulting services to large corporations and their boards.

Winston has been the recipient of numerous awards and honors, has appeared on CNBC’s Squawk Box and Bloomberg Business News, and has been quoted by Reuters Business News and The Wall Street Journal.

Winston holds a bachelor’s degree in accounting and management information systems from the University of Wisconsin and an MBA in finance, marketing, and international business from Northwestern University’s Kellogg Graduate School. She is a Certified Public Accountant and an NACD Board Leadership Fellow.
