Specifically, Hennesy provides buy-side and sell-side tax due diligence; IRC Section 382 analyses; transaction cost analyses; E&P and stock basis studies; as well as tax structure modeling for clients that are contemplating potential sales/purchases, including cross-border transactions. In addition, she has experience helping clients manage and address various post-transaction tax considerations, including making the proper tax elections and tax return filings; considering post-transaction legal entity planning and justification; remediating tax exposures identified in the due diligence process; and identifying and implementing cash tax savings opportunities.
