Barbara Duganier has extensive executive and board experience in multiple facets of the energy sector, including renewables, as well as board experience in the consulting; distribution; engineering, procurement, and construction; insurance; and information technology services sectors. She is currently a member of the board of directors of three publicly traded companies and two private companies, having served on nine for-profit boards in her decade of board service. She has served as a lead independent director and her board committee experience is extensive; she has chaired audit; compensation; environmental, social, and corporate governance / enterprise risk; and nominating and governance committees. In her 44-year career, she has served in multiple global executive and non-executive director roles.

Duganier’s current boards include MRC Global (NYSE: MRC), a global distributor of products and services to energy and industrial markets where she chairs the environmental, social, governance and enterprise risk committee, is a member and past chair of the audit committee, and is a past member of the CEO succession committee; Texas Pacific Land Corp. (NYSE: TPL), one of the largest landowners in Texas, with land and resources management and water services and operations businesses, where she chairs the compensation committee and is a member of the audit committee; Arcadis N.V. (AMS: ARCAD), a global design and consultancy organization for natural and built assets where she is a member of the audit, remuneration, and sustainability committees; McDermott International, a private multinational engineering, procurement, and construction company where she chairs the audit committee and is a member of the risk committee; and Pattern Energy, a private renewable energy company that develops, constructs, owns, and operates wind, solar, transmission, and energy storage projects worldwide, where she chairs the audit committee.

Duganier is a former director of three publicly traded companies and one private company that were sold during her board tenures; HCC Insurance Holdings (NYSE: HCC), an international specialty insurance group; Buckeye Partners (NYSE: BPL), a global operator of a diversified network of integrated assets providing midstream energy logistics solutions; Noble Energy (Nasdaq: NBL), a large independent oil and gas exploration and production company with domestic and international operations; and West Monroe Partners, a national digital consulting firm. Duganier previously chaired the audit committee of Buckeye Partners and sat on the compensation committee; was a member of the enterprise risk oversight committee and compensation committee for HCC; was a member of the audit committee and nominating and governance committee for Noble Energy; and was the lead independent director and chaired the nominating and governance committee for West Monroe Partners.

Duganier’s most recent corporate experience was with Accenture. Between 2004 and 2013, she was a senior leader in Accenture’s outsourcing business serving diversified industries and in the resources operating group serving energy and natural resources companies. Her executive roles included chief strategy officer and global growth and offering development lead, among others. Her most tenured corporate experience was with Arthur Andersen, where for 23 years Duganier served in C-suite and increasingly responsible business leadership roles. She was in audit for a decade and financial consulting for over a decade. Duganier served as Andersen’s global chief financial officer (CFO) during the challenging last two years of the company’s history. She was chosen global CFO after being one of eight finalists in an intensive global CEO selection process. Prior to this, she was partner-in-charge (profit and loss) of the Southwest region business consulting practice and earlier still, was partner-in-charge of the US strategy, finance, and economic consulting business.

Duganier earned her bachelor of business administration in accounting in 1979 from John Carroll University, where she now serves on the board of directors. She is a National Association of Corporate Directors (NACD) Leadership Fellow, received the CERT certificate in cybersecurity oversight issued by Carnegie Mellon University, is a licensed certified public accountant (since 1981), and received the NACD Director Certification in December 2021. She is the immediate past chair of the board of directors of the NACD Texas TriCities Chapter and is a 2020 NACD Directorship 100 honoree. She is a frequent speaker on leadership and governance topics.
